Cyborg API Terms of Service

1. License Grant
Subject to the terms of this Agreement, Tech Cold Brew LLC ("Hire4Real", "we", "us") grants you ("Customer", "you") a non-exclusive, non-transferable, revocable license to access and use the Hire4Real Cyborg API ("API") and its output, including the Hiring Likelihood Score and associated signal data, in your product or service, subject to the permitted-use restrictions in Section 4.
2. Attribution
Customer must display "Powered by Hire4Real" or substantially similar attribution in reasonable proximity to any display of the Hiring Likelihood Score or API output in Customer's product.
3. Indemnification
Customer agrees to indemnify, defend, and hold harmless Tech Cold Brew LLC, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Customer's display, use, or redistribution of API output
- Any claim of defamation, business disparagement, or tortious interference arising from Customer's presentation of the Hiring Likelihood Score
- Any claim under the Fair Credit Reporting Act (15 U.S.C. 1681 et seq.) or state equivalents arising from Customer's use of the API
- Any claim under state consumer protection laws arising from Customer's product
- Customer's breach of the permitted-use restrictions in Section 4
4. Permitted and Prohibited Uses
Permitted Uses
- Helping individual job seekers identify, filter, rank, or prioritize job postings to pursue
- Displaying the Hiring Likelihood Score to job seekers as a factor in their personal job search decisions
- Aggregate, anonymized analytics about job market conditions
- Research, journalism, and academic analysis of labor market patterns
- Job search automation tools (e.g., auto-apply services, job aggregators, browser extensions) that help candidates decide which jobs to apply to
Prohibited Uses - Material Breach
Any of the following constitutes a material breach of this Agreement, triggering immediate API key revocation, indemnification of Tech Cold Brew LLC for any resulting claims, and liquidated damages of $50,000 per violation:
- Using the Hiring Likelihood Score, or any data derived from it, as an input, factor, or signal in any employment decision about a specific individual candidate
- Furnishing the Hiring Likelihood Score to employers, recruiters, hiring managers, HR platforms, applicant tracking systems, or any party evaluating candidates for employment
- Ranking, filtering, scoring, or screening individual job applicants using the API output
- Integrating the API into any Automated Employment Decision Tool (AEDT) as defined by New York City Local Law 144 or similar statutes
- Using the API as a background check, consumer report, or pre-employment screening tool under 15 U.S.C. 1681 et seq.
- Reselling or redistributing the API output to any party known or reasonably suspected of using it for the prohibited purposes above
Customer Representation and Warranty
Customer represents and warrants that it will use the API exclusively for permitted uses, and that it has reviewed its product architecture to confirm no prohibited use exists. Customer agrees to notify Hire4Real within 5 business days if its use case changes in a way that could implicate any prohibited use.
5. No Consumer Reporting Agency Representation
Customer represents that it will not use the API as a Consumer Reporting Agency, and that it understands Hire4Real is not a CRA and the API output is not a "consumer report" as defined by 15 U.S.C. 1681a(d). The Hiring Likelihood Score evaluates job postings, not individuals.
6. Rate Limits and Acceptable Use
Customer agrees to respect the rate limits associated with their tier. Automated scraping, stress testing, or deliberate abuse of the API infrastructure is prohibited. Hire4Real reserves the right to throttle or suspend access for any Customer whose usage patterns suggest abuse.
7. Termination
Either party may terminate this Agreement with 30 days written notice. Hire4Real may terminate immediately and without notice upon discovery of any prohibited use under Section 4. Upon termination, Customer must cease all API usage and delete any cached API output within 30 days.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECH COLD BREW LLC'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL TECH COLD BREW LLC BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas. Any disputes shall be resolved in the state or federal courts located in Travis County, Texas, or the Texas Business Court.
10. API Key Confidentiality
Customer is solely responsible for maintaining the confidentiality of their API key(s). Customer must not share, publish, or embed API keys in client-side code. Any unauthorized use of an API key is Customer's responsibility.
11. Compliance with Applicable Laws
Customer is solely responsible for compliance with the Fair Credit Reporting Act (FCRA), state consumer protection laws, employment discrimination laws, NYC Local Law 144, Colorado AI Act, California AB 2273, and all other applicable statutes in their jurisdiction. Hire4Real makes no representation that the API output complies with any employment-screening regulatory framework, because it is not intended for that purpose.
